These Terms of Use ("Terms") constitute a legally binding agreement between you ("User") and Arpany Technologies, a société par actions simplifiée registered in France under SIREN 102 205 135, with share capital of 1 000 € and VAT number FR66 102 205 135, with registered office at 38 rue des Mathurins, 75008 Paris, France ("Arpany Technologies," "we," "us," or "our"), governing your access to and use of Arpany Research AI and related services (the "Service"), accessible at arpanyresearch.com.
1. Description of the Service
Arpany Research AI is an artificial intelligence-powered research assistant built around a conversational AI Agent that helps users discover, summarize, analyze, and cite scientific literature. Through a single conversational interface, the Service can, without limitation: search and rank scientific papers, generate literature reviews, answer questions about scientific documents (including documents you upload), translate scientific text, analyze research trends, identify researchers and institutions, and generate citations. The Service may evolve over time, and we reserve the right to add, modify, or remove features at our discretion, with reasonable notice for material changes affecting paid subscribers.
2. Eligibility and Account Registration
You must be at least sixteen (16) years old to use Arpany Research AI. If you are between 16 and 18 years old, you represent that you have obtained your parent's or legal guardian's permission to use the Service and agree to these Terms. By using the Service, you confirm that you meet these age requirements. If we become aware that a user is under 16, we will immediately suspend their account and delete their data. By registering, you represent that all information you provide is accurate, current, and complete. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.
3. Subscription Plans and Free Tier
The Service is offered through multiple subscription tiers, including a Free plan and paid plans ("Plus" and "Pro"), each with specific usage quotas and feature access as described on our Pricing page. Paid subscriptions are governed by our separate Subscription Terms. We reserve the right to modify quota limits, features, and pricing at any time, with at least thirty (30) days' notice to existing paid subscribers before any price increase takes effect.
4. Acceptable Use
You agree to use the Service only for lawful purposes. You shall not: (a) use the Service to generate or disseminate unlawful, defamatory, or fraudulent content; (b) circumvent usage quotas or subscription tiers through technical manipulation or multiple account creation; (c) reverse-engineer or attempt to extract the underlying models or source code; (d) use automated scripts or bots beyond what is permitted; (e) resell or redistribute access without our prior written consent; (f) use the Service to develop a competing product; or (g) interfere with the integrity or performance of the Service.
5. AI-Generated Content and Accuracy Disclaimer
The Service uses artificial intelligence, including large language models provided by third parties (including OpenAI), to generate literature reviews, summaries, translations, and other research outputs ("AI Outputs"). YOU ACKNOWLEDGE THAT: (a) AI Outputs may contain inaccuracies, omissions, or fabricated citations ("hallucinations"); (b) AI Outputs are for informational purposes only and do not constitute professional, medical, legal, or scientific advice; (c) you are solely responsible for independently verifying any AI Output before relying on it for consequential purposes; (d) Arpany Technologies makes no warranty as to the accuracy or reliability of any AI Output.
6. Intellectual Property
The Service and its underlying technology are the exclusive property of Arpany Technologies and its licensors. You retain ownership of the content you submit. By submitting content, you grant Arpany Technologies a worldwide, non-exclusive, royalty-free license to process and use such content solely to provide, maintain, and improve the Service, including the anonymized analytics purposes described in our Privacy Policy.
7. Third-Party Services
The Service integrates with third-party providers including OpenAI (AI processing), Supabase (data storage and authentication), Stripe (payment processing), and scientific literature metadata providers. Arpany Technologies is not responsible for the availability, accuracy, or practices of these third-party services, though we select and monitor our providers with reasonable care.
8. Account Inactivity and Termination
You may terminate your account at any time through your account settings. We reserve the right to suspend or terminate accounts that violate these Terms, contain inaccurate information, or have been inactive for a continuous period of twenty-four (24) months. We will notify you by email at least thirty (30) days before closing an inactive account, giving you the opportunity to reactivate it. Upon termination, your right to use the Service ceases immediately.
9. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, EXCEPT WHERE PROHIBITED BY APPLICABLE LAW.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ARPANY TECHNOLOGIES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING FROM YOUR USE OF THE SERVICE. IN ANY EVENT, ARPANY TECHNOLOGIES'S TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED EUROS (€100). NOTHING IN THESE TERMS SHALL LIMIT LIABILITY FOR GROSS NEGLIGENCE, WILLFUL MISCONDUCT, OR FRAUD.
11. Indemnification
You agree to indemnify and hold harmless Arpany Technologies, its officers, employees, and agents from and against any claims, liabilities, damages, and expenses arising out of your use of the Service or your violation of these Terms.
12. Governing Law and Dispute Resolution
These Terms are governed by French law, excluding its conflict of law rules. Any dispute shall be submitted to the competent courts of Paris, France, except where mandatory consumer protection law in your country of residence requires otherwise. For users in the United States, any dispute resolution shall be conducted on an individual basis, not in a class or representative action.
13. Changes to These Terms
We may revise these Terms from time to time. Material changes will be notified via email or in-app notice at least fifteen (15) days before taking effect. Continued use after such notice constitutes acceptance of the revised Terms.
14. Severability and Entire Agreement
If any provision of these Terms is held invalid, the remaining provisions shall continue in full force. These Terms, together with our Privacy Policy and Subscription Terms, constitute the entire agreement between you and Arpany Technologies regarding the Service.
